Terms of Service

These Terms of Service ("Terms") govern your access to and use of JoeFlow—websites, applications, and related services (collectively, the "Services") provided by MIDAR, svetovanje in inžinering ter trgovina, d.o.o. ("MIDAR d.o.o.", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms.

If you are located in the European Economic Area, the United Kingdom, or Switzerland, nothing in these Terms limits your statutory rights under applicable data protection law, including the General Data Protection Regulation ("GDPR") where it applies. How we process personal data is described in our Privacy Policy.

Eligibility and accounts

You must have the legal capacity to enter into these Terms in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

The Services

We provide the Services as described on our website and in your order or subscription, subject to change with reasonable notice where required. We may modify, suspend, or discontinue features to improve security, reliability, or compliance. We do not guarantee uninterrupted or error-free operation.

Acceptable use

• Attempt to gain unauthorized access to the Services, other accounts, or systems;
• Introduce malware, disrupt, or overload the Services;
• Use the Services to send spam, phishing, or unlawful content;

Your content

You retain ownership of content you submit. You grant us a limited license to host, process, and display such content solely to provide and improve the Services, as further described in our Privacy Policy. You represent that you have the rights necessary to grant this license.

Third-party services

The Services may integrate with third-party tools or links. Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party content or practices.

Google account integrations

If you connect your Google account (for example to use Gmail, Google Calendar, or other Google services with the Services), you authorize us to access and use information from Google only as needed to provide the features you enable and only within the scopes you approve. You must comply with Google's Terms of Service and applicable Google policies when using those integrations. You are responsible for the content and data you access or sync through Google services and for ensuring you have the right to use that data with JoeFlow.

You may disconnect Google integrations or revoke access at any time through your Google account or through settings we provide in the Services. Our use of Google user data is described in our Privacy Policy and must comply with the Google API Services User Data Policy, including the Limited Use requirements.

Analytics and advertising technologies

Our websites and apps may use third-party analytics and measurement tools (such as Google Analytics) and advertising or measurement technologies (such as the Meta Pixel). These tools are provided by third parties and are subject to their respective terms and privacy policies. Your use of the Services may be subject to additional choices regarding cookies and similar technologies as described in our Privacy Policy.

GDPR and data protection

Where the GDPR or substantially similar laws apply, we process personal data as described in our Privacy Policy, including information about legal bases, international transfers, retention, and your rights. If you act on behalf of an organization that uses the Services, you acknowledge that your organization may have obligations as an independent controller or as a joint controller for certain data, and you agree to comply with applicable data protection rules when uploading or processing personal data of others through the Services.

Fees and payment

Paid features are billed according to the plan you select. Fees are non-refundable except where required by law or expressly stated. We may change pricing with advance notice where required.

Intellectual property

The Services, including software, branding, and documentation, are owned by MIDAR d.o.o. and its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDAR D.O.O. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Indemnity

You will defend and indemnify MIDAR d.o.o. and its affiliates against claims arising from your content, your use of the Services in violation of these Terms, or your violation of law or third-party rights, subject to our prompt notification and reasonable cooperation.

Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, risk to the Services, or legal requirements. Provisions that by their nature should survive will survive termination.

Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Slovenia, excluding conflict-of-law rules that would apply another country's laws. Unless mandatory consumer protection rules require otherwise (for example, where you qualify as a consumer in the EU, you may bring proceedings in your Member State of residence), the courts of Maribor, Slovenia have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

Changes

We may update these Terms from time to time. We will post the revised Terms and update the "Last updated" date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law.
